These Terms of Service ("Terms") govern your use of the website madebyaspire.com and any services provided by Aspire Digital ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

By accessing or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately.

2. Description of Services

Aspire Digital is a custom website design agency offering the following services:

• Custom website design and development
• Search engine optimization (SEO)
• CRM and GoHighLevel integrations
• Branding and visual identity
• Analytics setup and reporting
• Ongoing website maintenance and support

The specific scope, timeline, and deliverables for any project will be outlined in a separate written agreement or proposal between Aspire Digital and the client.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for the project
• Supply all required content, images, branding assets, and access credentials in a timely manner
• Review and provide feedback on deliverables within agreed-upon timeframes
• Ensure that any content or materials you provide do not infringe on third-party intellectual property rights
• Maintain the confidentiality of any account credentials we create on your behalf

4. Intellectual Property

During the project: All work product, designs, code, and creative materials produced by Aspire Digital remain our intellectual property until final payment has been received in full.

Upon final payment: Once all invoiced amounts have been paid in full, ownership of the final deliverables transfers to the client. This includes the completed website design, custom code, and any assets created specifically for the project.

Retained rights: Aspire Digital retains the right to display the completed work in our portfolio, case studies, and marketing materials unless otherwise agreed upon in writing. We also retain ownership of any proprietary tools, frameworks, or reusable components that were not created exclusively for the client's project.

5. Payment Terms

Payment terms will be outlined in the project proposal or agreement. General terms include:

• A deposit may be required before work begins
• Invoices are due upon receipt unless otherwise specified
• Late payments may result in project delays or suspension of services
• All fees are non-refundable once work has commenced, unless otherwise agreed in writing

6. Project Changes and Revisions

The scope of revisions included in each project will be defined in the project agreement. Requests that fall outside the original scope may incur additional fees. We will communicate any additional costs before proceeding with out-of-scope work.

7. Limitation of Liability

To the fullest extent permitted by law, Aspire Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services or this agreement.

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

We are not responsible for any losses resulting from third-party services, hosting outages, domain registrar issues, or other factors outside our reasonable control.

8. Warranties and Disclaimers

Our website and services are provided "as is" and "as available." While we strive for excellence in all our work, we do not warrant that our services will be uninterrupted, error-free, or that any defects will be corrected within a specific timeframe.

We do not guarantee specific results from SEO services, as search engine rankings depend on many factors beyond our control.

9. Termination

Either party may terminate a project agreement by providing written notice. In the event of termination:

• The client is responsible for payment for all work completed up to the date of termination
• Aspire Digital will deliver any completed work upon receipt of outstanding payment
• Intellectual property for unpaid work remains with Aspire Digital

We reserve the right to terminate services immediately if the client breaches these Terms or engages in conduct that is abusive, fraudulent, or harmful to our business.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of the business relationship.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the courts of Delaware County, Ohio.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
